Is Secretarial Audit compulsory

No. Secretarial Audit is not compulsory for all the companies. According to Section 204 of the Companies Act, 2013 its mandatory for all the listed companies and companies belonging to other prescribed class of companies.

As per rule 9 of the companies (Appointment and remuneration of Managerial Personnel) Rules, 2014,the prescribed class of companies is as under:
  1. Every public company having a paid-up share capital of fifty crore rupees or more: or
  2. every public company having a turnover of two hundred fifty crore rupees or more.
The above companies required to present the secretarial audit report along with the board report and the format of the secretarial audit report shall be in Form No. MR. 3
